I don't know if Ketan is trying to update an existing version. If so, 
someone on another list gave the following suggestion:

I learned this the hard way: You have to uninstall the previous version of 
the flash player before you can install the latest. There is a special 
uninstall utility at

You run that baby and then you can install the latest version.

Ketan, the browser may be blocking the active x control, which allows 
programs to download onto your system. What browser are you using? if IE, 
when you try to download, are you getting an error message? If using IE, 
after hittinghe download button, simultaneously hit alt-n to allow for
