Sounds like a bad power management chip, which is an on-board and independent 
microprocessor.

Measure the PRAM battery voltage and if it is below 3.2 volts then it should 
be considered to be dead. Replace with a new battery, which should measure 
3.69 volts out of the machine and 3.66 volts in the machine.

Or, just replace the PRAM battery if you don't have a DVM.
