Check to see how many files you have in the root directory.  512 is the
maximum and may be causing your problem.  If this is not it, then check
to see if your system.ini has an entry under the [386Enh] section that
reads 

minSPs=12 (value may be other than 12, but needs to be a multiple of 4).

I have 12 and have not had the out of memory problem since.
