This is very simple, basically the same as replacing a HSF unit on most mobo's. I don't know what HSF unit you are using but assuming it's a stock Intel retail CPU; the only difference is the P4 retention clip levers. BE VERY CAREFUL with them, they have been known to break. Just move the 2 levers up VERY SLOWLY and GENTLY, then move/pop out the 4 areas of the top of the retention mechanism that make contact with the 4 "slots" on the bottom of the retention mechanism. These sort of just pop in and pop out. Then of course just reverse the procedure for installing it back. Be sure the 4 areas I spoke of are ALL SEATED correctly before you snap the clips back into place. This info is in the motherboard manual.
One thing it may not mention is the HSF unit may be stuck to the CPU. You cannot release the ZIF CPU lever without first removing the heatsink. DO NOT FORCE OR PULL on the heatsink. The only thing you can do is VERY VERY GENTLY try and twist it less than a mm, any more than that and you can rip/damage the pins of the CPU since they are still held in place by the CPU chip lever on the socket. Whether there is a thermal pad or compound, it must be replaced and the CPU top cleaned level w/no debris whatsoever on it, then wipe it with alcohol. Most HSF units will come with some type of thermal pad or compound. If you are not overclocking, any white heatsink compound will do, even the kind for transistors. I don't particularly recommend it since it can be prone to shrinkage. If you don't have any and the new HSF unit doesn't come with any, you can find some at Radio Shack. Most thermal pads are not as good as thermal compound.
