What happens when you convert from FAT32 to NTFS in XP (and win2k as well) is that the cluster size is at 512 bytes which is far too small. Formatting to NTFS when you install sets the cluster size to 4 kilobytes.

Having a cluster size of 512b is very taxing to the system primarily. I think you can adjust cluster sizes with Partition Magic from Power Quest.
