The main difference, apart from features, is weight and size of both body and lenses. 
The 645 is no larger than a pro 35mm slr and likewise for the lenses. Especially by 
pairing it with the new compact zoom lenses an MF system that rivals 35mm in 
versatility can be built without breaking your back. If you are a lens freak that like 
to cover as long range of focal lenghts as possible, the 645 is the best bet. If you 
have no weight limits the 67 obviously give better image quality due to its larger 
film area. This with some trade-off in DOF.
The greatest advantage of the 645, an advantage easily overlooked, is the two tripod 
sockets. This make rotation of a camera otherwise difficult to rotate easy.
