In some cases, that's it.  Basically, the energy coming in from the
charger forces a chemical reaction to occur, or heat to build up, that
is detrimental to the structure or components of the cell(s).  With
NiCd batteries, gases get created, build in pressure, and vent out of
the "can" that contains the cell.  You can't get that gas back into the
cell, and it's integral to the chemical reactions that release the
energy the battery stores.  So, once the gas is gone, the battery's
capacity is lower.
