When LR2 upgrades a catalog, it creates a new catalog and tells you where/what it will be. The original catalog is left intact and unaltered. However, it does move the previews file/folder for the original catalog to the folder containing the new catalog, saving time and space on disk. This means that if you open the original catalog with Lightroom 1.4.1, it has to recreate the previews. LR will do this automatically, but it will take some time depending upon the size of the catalog. I haven't seen any reason to bail out of LR2 yet, however. Once I upgrade a catalog, I'm pretty much done with it in LR1.
