The choice of structure of the "artificial human" (legal entity) is directed, in part, by statute. I know law firms like the LLP form over the LP because of the liability protection of an idiot partner, but I think most firms might like corporate protection more, if they were allowed... the original limitation of firms to a partnership was to keep their personal assests exposed to a suit in the case of misbehavior.
