another ethernet will serve as the connection from the server to the
router and all throughout the offices. how do we configure our server
(currently using windows but we will migrate into ubuntu linux soon)
as a proxy, firewall; and do we need to make the server as  a DNS
server as well?

if plans work for us, we will buy a new server that will serve as our
http/ftp/mail server. please help us. thanks a lot guys.

you can use a system dedicated solely for your purpose like pfsense, monowall, ipcop or smoothwall, it has firewall/NAT/dhcp/proxy/DNS forwarding and none of the services which you don't need. with regards to dns, for faster name resolution it is adviced that you install a local DNS server but if you wish to install any of the above FOSS i mentioned, you only need to enable dns forwarding and you're good to go or you can use your ISP's name service.
