You don't mention what you're going to be using the computer for, so whether it's worthwhile is hard to determine. But jumping from 40 to 64mb ram is not going to give you a performance boost unless you're using very memory-intensive applications--i.e. it's not going to speed up the computer unless you've been using virtual memory. If your problem is needing to have more programs open, you can use RAM Doubler--a bit faster than virtual memory and certainly cheaper than real RAM. But 40mb seems to be plenty for OS 8.1, at least. I'd think there'd be plenty of better uses for $140...
