Well I just tried it (don't know why I didn't do that in the first place 
instead of wasting bandwidth posting to the list <g>) and the answer is 
that both files are processed.  Moreover C::\Documents and 
Settings\PaulNewton\Start Menu\Programs\Startup\AUTOEXEC.BAT gets 
processed after
C::\Documents and Settings\All Users\Start 
Menu\Programs\Startup\AUTOEXEC.BAT and therefore takes precedence

So now you know <g>
