Mike,
        I have had some terrible problems with importing DXFs into Protel
99SE PCB (assume this is where you are importing to). More recently I have
been finding that the import seems to work more reliably when importing from
DWG format. I typically will convert the DXF into Ver 13 DWG format.
        Ian's list of things to watch for is pretty good also, so give it a
thorough reading as well.
        One item to watch for importing DWG files is blocks. I typically
explode all blocks down to primitives before importing since they don't stay
as blocks in Protel anyways.
