Hi Virginia, I really appreciate the work that the members of the Governance Reform Working Group put into these revisions. I had a chance to review this with my counsel, and only have three comments. They are all requests for clarification.
First, in section 3.2 of the IPR policy it says: "or otherwise agreeing to the licensing terms described in this policy”. There is no process defined to “otherwise agree”. Does it make sense to just remove this phrase Second, the ballot draft does not call out how guidelines that are already in the review period when the new IPR policy is effective are handled. We think it makes sense that they should be covered by the IPR policy that was in effect when the review period started. Lastly, in section 5.3.1 of the Bylaws it calls out “formally declaring” participation but does not specify how one does so. We think that it would make sense to have participation declared via posting to the public mailing list and to terminate participation, as envisioned in section 5.3 of the IPR policy, also by posting to the public mailing list.
