maybe it is an old kml-version?
try to open it in Google Earth (actual version) and save it again - to be sure to have a valid file.

.kml can also be opened easily in QGIS, but editing is not possible.

Not all kml can be opened. I have created some of my own, with links to external symbols. Qgis won't load that files, and gives no error messages. In Google maps and Google Earth they work fine.

Converting with gpsbabel to gpx makes the file content accessible.
