To know which layer is misplaced:
open a new project with EPSG:3857
load both layers into the canvas with on-the-fly-reprojection enabled
load Google or Openstreetmap background through the Openlayers plugin
see which layer is placed right and which is misplaced.
Normally, QGIS can read the projection from the hdr metadata, and
creates a custom CRS on its own. So I guess your misplacement might be
on the vector layer.
