Hi,
I have no inside knowledge of this as I am not an the development team but I
remember a good post on the subject explaining that Qgis did repack the shp
file when closing the file with deleted features. Is this only done on a
"save as"?
The problem may be cause by another GIS, like Manifold, as I remember that this
problem could lead to a totally corrupt shape file like what we as seeing here.

The (not very elegant) workaround here is to save the layer to a new shapefile
using save as...
