if your nics are indeed using this module, and if you dont need the network 
while troubleshooting then why not stop the network and then remove the module?

like:
/etc/init.d/network stop
modprobe -r be2net

once again, this will only work if you dont need the server to keep connected, 
which from  your initial email you may not want it : "So when I am trying to 
remove  be2net driver  as  [  rmmod  be2net ] , though it is not objecting but 
server is getting disconnected from the network"

if by any chance you can get another nic installed, you may ifdown all other 
interfaces instead of stopping the entire network "service", since what it is 
important is that nothing require be2net when you request to offload the module 
from running kernel

   I am replying all of you , who answered my request in one email.
  
  Yes,  the be2net driver is being used by the nics..  They are bonded and also 
two of them are using the vlan trunk. 
  Tried to ifdown the eths but they are still up.. though I am not using none 
of the trunk vlan at this moment.. also  I  am trying
  to do all these work from the console..
 
  So to unload this driver  what else I need to do  - pl. advice.

Sorry but if  i lose the network when i remove a module, it's better verify if 
it's in use before blacklisting the module
