Keith, You're just determined to test my knowledge aren't you. ;-) Unfortunately, we don't really have a solid answer for you for #1. The reason that you are required to submit a PO to get your copy of XDE is so that we can have a record of your receipt of the product. This is required so that we can determine what to do about maintenance, which will of course be required for future upgrades. What we haven't exactly figured out yet (or at least told the field) is what XDE maintenance is going to be. I'm not sure if it will be tied to your Rose maintenance or if it will be a separate XDE maintenance. The beauty of it is that we do have a little while to decide. Naturally, it's always best to stay current on all of your maintenance. :-)
I can do better for you for #2. XDE is NOT a replacement for Rose. They are two separate visual modeling tools. XDE is only appropriate for specific environments, Rose is the obvious choice if your environment doesn't match the requirements for XDE. I was actually just in a meeting today where the Rose development management reiterated their continued investment in the Rose product.
