Hmm.  I don't remember having that same problem.
The only thing I could think of here is that TOMCAT_HOME
should be set to the base directory for your tomcat
installation (ie. C:\jakarta-tomcat-3.2.1).  I was unclear
from your email whether you had this set to that location.
Tomcat may not be using the "classpath" environ variable
to find the jar file, but rather going off of the TOMCAT_HOME
environment variable.  Hope this helps!  Rob

I have given the path of the servlet.jar in the classpath
ie.,
set Classpath=.;c:\progra~1\apache~1\jakarta-tomcat\lib\servlet.jar;

and also in the
set TOMCAT_HOME=

Unable to determine what the problem might be.....
