If it's a 3g I wouldn't bother as the new features are fairly limited.
I've noticed a definite deterioration in performance even though I
reinstalled the update and set up as a new phone. Resetting all the
settings did improve matters but I think it is still a bit laggy at
times and battery life is also somewhat affected. Cellular data and 3g
are now turned off until needed and all safari tabs closed when I've
finished browsing which help.
In short iOS 4 is best suited to an iphone 4 or 3gs which have lots more
memory.
