How TVC Aims At Acquisitions, Not IPOs, with Jeb Spencer

Southern California's technology community--despite all of the recent
excitement around Silicon Beach--continues to be underserved in terms
of capital, with a lack of venture capital funds (with money), and
other private technology investors. One issue has been a difficulty by
indigenous funds to raise their own capital from their limited
partners. One of the few local funds to recently raise a fund is TVC
Capital (www.tvccapital.com), which just closed TVC Capital II, a $75
million growth equity and buyout fund. We thought it might be
interesting to talk with one of the fund's managing directors, Jeb
Spencer about the fund's success in technology investments, plus how
it managed to raise another fund in this kind of environment, plus its
unique goal of getting companies to an acquisition--and not an IPO.

As a reminder to our readers, can you talk briefly about TVC and what
kinds of companies you invest in?

Jeb Spencer: We consider ourselves a private equity firm. We are
focused on the investment in and acquisition of software firms that
are generating $2.5M to $10M in revenues and are tracking towards

The Search Agency Unveils New Offering
----
Los angeles-based online search marketing provider The Search Agency
said it has released a new offering today, which it is calling h(SEO).
The firm said the new offering helps brands improve their brand
visibility, and addresses both traditional search sites as well as
social media, review sites, mobile, and niche publishers. The Search
Agency called its new product a "new holistic approach to search
engine optimization (SEO)".

BeyondTrust Launches Updated Security Software
----
Carlsbad-based security software developer BeyondTrust said today that
it has launched a new version of Retina Community, the free
vulnerability assessment tool it acquired when it bought eEye in May.
BeyondTrust said the new edition of Retina Community supports up to
256 assets, and includes such features as live feeds of vulnerability
information, simplified wizards, automation support, and more. The
company said that the software is being used by over 10,000
organizations worldwide. Retina Community is a scaled down version of
its premium software, Retina Network, which is sold to enterprise
customers.

DTS Ships Products For Tensilica Cores
----
Calabasas-based audio processing technology developer DST said today
that it has started shipping two new products aimed at Tensilica's
HiFi DSP cores. The firm said its audio enhancement products for the
TV and PC market, Studio Sound and Premium Sound, can now be used in
products using those DSP cores for audio processing. The two products
were recently acquired by DTS when it acquired SRS Labs. DTS is a
provider of technology used for surround sound and other audio
enhancement.

Two Socal Firms Make Windows Azure Accelerator Program
----
Two, Southern California companies are on the list of the next class
for Microsoft's startup accelerator, the Microsoft Accelerator for
Windows Azure, according to Microsoft Monday. Microsoft said it had
ten finalists who will be included in the three month program--powered
by TechStars--to help accelerate companies using Windows Azure. The
two Southern California companies were Embarke, a San Diego firm which
helps develops integrate with email, text messaging, Twitter, and
Facebook through a single interface; and Realty Mogul, a crowdfunding
platform aimed at allowing accredited investors to pool capital and
invest in properties. The startup accelerator is running the program
in Seattle.

EQAL Acquisition By Everyday Health Included $12.5M In Stock
----
A recent regulatory filing by Everyday Health, the digital media
publisher, shows that its acquisition of Los Angeles-based EQAL
included both cash and stock, with the stock portion worth $12.5M. The
filing did not reveal the full price for EQAL, the media and content
developer founded by Miles Beckett and Greg Goodfried. Financial terms
of the acquisition haven't been announced by either company. EQAL came
onto the scene with its Youtube hit, lonelygirl15, and has since been
involved in a lengthy list of digital media properties for brands,
celebrities, movies, and more. Everyday Health announced its
acquisition of EQAL on September 25th.

Wheelz Expands In Los Angeles
----
Peer-to-peer car sharing service Wheelz has expanded into the Los
Angeles, saying that it has added four college campuses in Los Angeles
to its list of local schools where it lets students share their cars
with others. According to Wheelz, it has added the Claremont Colleges,
Loyola marymount, Caltech, and Occidental to its list of local
schools, which already includes USC and UCLA. Wheelz lets people offer
up their cars for rent, via a special in-car box and integrated
smartphone apps. Wheelz is based in San Francisco, and also offers up
its service at Stanford and UC Berkeley; the company is backed by
Fontinalis Partners and Zipcar.

Viewdle Being Acquired By Google, Says Report
----
Viewdle, a developer of computer vision technology which is venture
backed by Anthem Ventures and Qualcomm, among others, is in the midst
of an acquisition by Google, according to reports Monday.  The
original report came via Forbes, with followup from TechCrunch.
TechCrunch said the acquisition is worth around $30M. Viewdle, which
was backed by Santa Monica based venture firm Anthem Venture Partners,
was originally founded in Kiev, and now has operations sprinkled
around the globe. Viewdle has received funding from Anthem's  Brian
Mesic and Samit Varma; Viewdle had been fairly visible in the Los
Angeles startup scene back in 2010. The rumored price for the firm is
around $30M. (An insider hinted to us that details of this deal are
inaccurate, but would not comment on the record).

Playsino Buys Two Social Gaming Firms
----
Los Angeles-based Playsino, which develops social casino games, said
Monday that it has acquired two social gaming firms, including Popover
Games and Foghorn Games. Financial terms of the buy were not
disclosed. Popover Games develops social casino games such as Popover
Poker. Foghorn Games is a developer of Popover's social casino game
Bingo Around the World. Popover was founded in October of 2010;
Playsino is headed by Brock Pierce. Playsino is backed by such
investors as IDM Venture Capital, Pacific Capital Group, Siemer
Ventures, and angel investors, including Jordan Simons, Wicks Walker,
Tomorrow Ventures, Jim Armstrong, and Michael Huskins.

Fandango Names Yanover President
----
Fandango, the online and mobile movie ticketing provider based in Los
Angeles, has hired former Disney Online executive Paul Yanover as
President, the company said Monday. Yanover was formerly xecutive
vice-president and managing director of Disney Online, and also worked
on Disney's family sites, including Family.com, FamilyFun.com,
Kaboose.com, and Babyzone.com. Yanover had also previously served at
Disney Parks & Resorts Online, as well as co-founded and headed by
digital picture frame firm Ceiva Logic. Yanover was most recently head
of a digital media consulting practice, Lookout Interactive Media, and
served at Examiner.com. Fandango said Yanoger reports to Nick Lehman
at NBCUniversal Entertainment Network, which owns Fandango. Rick
Butler, EVP and General Manager of Fandango, continues to run
day-to-day operations at the company.

Factual Bolsters Advisory Board
----
Factual, the Los Angeles-based data startup headed by Gil Elbaz, said
yesterday that it has added two new members to its advisory board.
Factual said that it has added Clare Hart and Jason Rosenthal to its
list of advisors; Hart was most recently President and CEO of
Infogroup, and also served at Dow Jones & Company, Dow Jones
Enterprise Media Group, and was CEO of Factiva. Rosenthal was most
recently EVP of Products at Glam Media, and was CEO of Ning; he also
has served at AOL, Netscape, Loudcloud, Opsware, and HP.  Factual is
developing a massive dataset of information, accessible via APIs in a
dozen programming languages, which power things like location-based
data for mobile phones and much more.

Actv8 Gets $3.2M
----
Beverly Hills-based Actv8, a developer of mobile applications for
Hollywood and the television industry, has raised $3.2M in a funding
round, according to a recent regulatory filing by the firm. Source of
the funding and details have not been announced. Actv8's apps work
with live television, and are being used by such shows as So You Think
You Can Dance, MasterChef, The Celebrity Apprentice, and more; the
company has deals with Virgin Produced, Fox, Oxygen, and others.

the first manned mission to the Challenger Deep in more than half a
