"diff" doesn't work because the two  file's lines are not exactly the same , 
therefore you must write a script with "awk".

Dear All
Please be informed that I have two text files that have some rows with the
same data inside them . I need to compare them and find how many lines with
similar data , but this comparison need not to be done in a line-by-line
basis . I mean , the row#1 in file1 in not necessarily the same as row#1 in
file2 but say row#3 in file1 may be the same as say row#5 in file2 . So
please let me know how can I compare these two files and find how many rows
with similar data inside them ?
