Folks, I'm in favor of this proposal in general, but would like to make sure the language is absent potential minefields. In particular:
a) we need to preserve the board's ability to make "emergency" votes for things involving external deadlines (like taxes and conferences) when they can't be avoided. This is sometimes done by requiring two votes, one to authorize the emergency vote and one to vote on it. Consider that we've already proven that under NY law e-mail votes are impossible, so emergency measures can't be taken outside of meetings. b) I want to make it clear that this does not necessarily mean that the *first* draft of new resolutions needs to go to -private or -general.
