Didn't answer it the first time, cuz it seemed that
enough had been said, but there is one question i have:
If you are running this from pure DOS, then don't
read any further.
If you are running this from a DOS window from within
a Win98 session, then I might ask, is there any reason
this could not be done with an alternative command
shell?
I have CygWin (free download) on my Win98 machine,
and from within this shell, I have access to a pretty
complete set of Unix commands (including diff, less,
sort, tail, and so on) as well as the BASH shell logic.
Doing a comparison between all files in two directories
is trivial. Doing a wildcard comparison of selected
files in different directories is not as trivial, but
is easy enough.

I almost don't use the DOS command prompt any more on
that machine, cuz I get what I need (and more than DOS
can do) in CygWin.
