A virus could explain that behavior.  Perhaps you could get some AV  
software other than what is running on the box and do a scan.

Since safe mode seems to work I would probably start with backing up  
aduch data as possible in case that stops working too.  Then I would  
try using msconfig to disable all but basic services - hopefully it  
will work - then gradually add back items until it breaks again.

I have also seen drivers cause the noshutdown situation so look at any  
driver updates that were part of that package and try to rollback.
