First thing you'll need to do is update the network schema to allow the 2008 server to join the domain.. You need to run domainprep from your current schema master server with the 2008 disc..
then you can dcpromo the 2008 box to join it to the domain as an additional domain controller in an existing domain.. then if you want it to be your primary server, you'll need to transfer the FSMO roles to the new server.. once you do that, disable DHCP on the old box, and create your new scope and activate DHCP on your new 2008 box.. If you need any help feel free to shoot me an email off list and I can help walk you through.. I just did this for a customer a couple weeks ago.. it's really not a big deal..
