Thanks everyone for opinions and suggestions, I've just set 'disable kernel' in ntp.conf and will see what's happening, hopefully it won't damage my domUs, as they have independent-wallclocks set and are syncing with ntp.
I am running latest Debian Testing (because stable lenny had raid issues on my configuration, when I installed system), with 2.6.26-1-xen -amd64 images, in summer I would like to reinstall to stable. >From discussions I googled, 'disable kernel' seemed to help, but for me it sounds like too big hammer for just a small nail. :) Server connection is stable afaik, if I ping any site I imagine now, mdev is always less than 1 ms...
