Well, it's complicated, but the easiest answer is they're separate companies that are *controlled* (as opposed to "wholly owned") by National Amusements, which is Summer Redstone's holding company. I imagine shareholders of Viacom who aren't also shareholders of CBS would be very interested in their content being given away gratis to a competitor.
