same problem, attached the output of dmesg, lspci uname of the failed ubuntu 10.04 and for the same hardware the outputs of the working ubuntu 9.04 for compare (i dont see big differences). Only solution so far is to do a shutdown with reboot in 10.04 and switch the power of on reboot. - With quiet and splash disabled i can see the last line: 252.520751 powerdown and i hear the harddisks spin down but all fans are running and the system needs a reset. But a reset is bad, because it seems the harddisks have then sometimes problems to wake up! Happend to me 2 times that one ata-disk wont start up right and i ended with an ro (readonly) system. It sounds not very healthy and so i did not try it more often.
