This sounds like bug 226960.
You've probably installed the wrong virtualbox-ose-modules package (e.g.
virtualbox-ose-modules-386 on a -generic system), which pulled in the -386
kernel, without the modules.
See the above mentioned bug, where I've just added instructions about how to
fix such a "messed up" system.
