Dear Al thanks for your suggestions. please note that the best data was in https://help.ubuntu.com/community/Internet/ConnectionSharing. what is understand is that you have to have different default subnet mask for both the network. i tried 255.255.0.0 for one network and 255.255.255.0 for the other. it worked like a charm. thanks for your help.
