Hm.  The driver I downloaded from
<http://downloadfinder.intel.com/scripts-df/File_Filter.asp?FileName=PRO2KXPM.EXE>
has these files for XP (PRO1000):

E1000325.sys
PROUnstl.exe
e1000325.cat
e1000325.din
e1000325.inf
e1000msg.dll
intelnic.dll

Similar, but not the same.  Are you sure you have the right driver?

Double-check the permissions on the files, perhaps?  (I am grasping at
straws, now.)

Well, I have installed XP on Dell hardware with Intel gigabit
networking.  I used the driver above.

To be certain you have the right driver, you could try using pciscan
(from <http://u2.nu/utils/>) to get the PCI Vendor and Device ID,
comparing them to the contents of your .inf file to make sure it is
the right driver...
