A more useful correction might be to withdraw your original post and make your point about what you think the law should be even it it isn't.? I'm not sure that the UCC only applies to tangible goods - since it covers things like negotiable instruments, secured transactions and sales.? Nor was it ever apparent to me when I studied a few articles of the UCC that the spirit you attribute to it was present.

It's just the Uniform Commercial Code -- which is actually an unofficial document but has been adopted in its entirety or with modification by the various states and incorporated into their own laws.
