Do you have guest additions installed? Any custom features, ie usb device filters set, etc? Host side scripts that interface with vboxmanage? Other than that it should be painless. Also, you could try first copying the Vm, and importing such copy in the new vbox version, to leave the old one untouched in case you need to revert back....
