VirtualBox currently allocates and locks down the complete guest RAM while VMware does lazy allocation so unless the guest really uses all its memory, it will not be allocated on the host by VMware. Our behavior is more suitable for mission critical use as you cannot run out of RAM after VM startup.
However, we have also implemented lazy memory allocation and we are currently testing it. Either the next (1.3.4) or the second next release of VBox will provide this feature as well. Another benefit of this feature is that especially on Windows hosts, VM startup will be much faster.
