OK, I reproduced this on a fresh install of WinXP pro SP2, first time install 
of vbox 1.3.6
 - install vbox 1.3.6
 - start it
 - create a new VM, type : Windows 2003; all defaults (no disk)
 - start it
 - dismiss the dialog about grabbing the kbd
 - click inside the running VM window
 - dismiss the dialog about grabbing the mouse
 - release mouse by pressing right ctrl
 - select a window of notepad
 - on the task bar, click the VM window
 - click it again
Result:
 - focus is in notepad, but keys are grabbed by vbox
 
Now if you can't reproduce this, ... well I wont say anything ;-)

It means that you have managed to switch from the VM console window to a
different application so that the focus_out/deactivation event was not
delivered to the VirtualBox application for some reason. We've seen
something similar, but so rarely that no chance to find the reason so
far. So, if you have a good recipe to reproduce, you're welcome.

P.S. When mouse integration is turned on, the mouse pointer is never
grabbed (and cannot be). Otherwise, it is grabbed whenever you click
inside the VM console window regardless of the current keyboard grab
state. However, both the keyboard and the mouse are ungrabbed at once
when you press the Host Key (and both will be grabbed again if you press
it once more).
