Take volume offline.
update system with lastest cluster patch Jan 27th 2007 , I believe
upgrade veritas volume manager with 3.5 and leave it file system with 3.5
upgrade volume Manager and file system with 4.1MP1 and bring all the volume 
online.
 
3.1 you can not upgrade directly with 4.0 or 4.1. I have done 4.1MP1 around 500 
systems.
3.5 will be end of life soon.
