All the time, I was loading the saa7134 and the v4l modules after I
started XFree86. If I load the before I start XFree86, overlay behaves
considerably better. It's still a bit quirky, and can be provoked to
malfunction, but it's better than it was before.

I still prefer grabdisplay at this moment; in my situation, it's much
more robust. I'll accept the 5% CPU usage.

I never tried with 2.4, so I can't tell :)
