Yes. It can work with the DHCP provided by ICS but
it's
more reliable to assign the stuff manually.

Give TCP-IP -> your NIC on the PC an IP of
192.168.0.1 For XP instead of right clicking Network
Neighborhood then clicking Properties, right click
My Network Places then properties. Repeat on the
Local Area Connection.
Set the Subnet Mask to 255.255.255.0
Plug your ISP's DNS numbers in there too. Click Apply
then OK. Win9x will have to reboot.

On the Mac side of things in TCP/IP you want to
click Edit then go to User Mode and set it to
Advanced.
Connect via: Ethernet
Configure: Manually
IP Address: 192.168.0.xxx where xxx is any number 2
through 254. 1 and 255 are reserved and 1 is assigned
to the PC.
Subnet mask: 255.255.255.0
Router address: 192.168.0.1 (same as the PC's IP)
Name server addr: enter both your ISP's DNS numbers.
Implicit search path:
Starting domain name: your ISP's domain. For example,
if you're on Earthlink you'd enter earthlink.net
you don't need the www.

The benefit to manual configuration is that it will
work. If it doesn't work then you've either entered
something wrong or there's a hardware problem or
a software problem, usually a driver that needs
removed and reinstalled on Windows or a prefs file
on the Mac needs trashed. Another benefit is it's
easier to keep track of several computers if you
make sure each one is always using its own assigned
IP address.
