I'm not using a converter.
the audio video is going through the HDMI port to the TV.
Now the HeadPhone jack sends the audio from the TV and apple TV to the
speakers.
I'm listening to my iTunes music through my powered speakers as I type
this message.
This is exactly what I wanted.

Here is a little more info for those of you thinking avout purchasing
a Apple TV.
My TV has a 3.5mm headPhone jack.
I used that jack to connect to my powered amplified speakers, so now
my TV as well as the Apple TV plays through my speakers without me
having to purchase a optical cable and a AB system that connects to
optical devices.
And now I have a question.
If I press the bottom right button three times, will it toggle
VoiceOver on and off?
