Hi Ido, your email is interesting and reveals an important issue: the governance of a no for profit organization is a little bit different from that of a "commercial" company.
In my opinion there is an unclear definition of the stakeholders and the definition of the importance of these stakeholders and the relations they have. Missing a clear definition of these entities and how they are related and what kind of potential conflicts can be generated by them, it can only drive to the current picture.
