The Wikimedia South Africa AGM is scheduled to be held tomorrow, Sat 8
November.
However, the last communication that I can see to members was on 17 Oct,
saying "Venue to be confirmed". I see now that the venues have been
added to the AGM agenda, but please share details of the venue with
members in advance.
Unfortunately I'm not going to be able to make the meeting, but there
are a few issues I'd like to see clarity on.
There is a lot more money available these days, and it's important that
WikimediaZA develops greater transparency in how these funds are being
utilised, especially when it comes to payments and remuneration for
board members. For example, "Support African languages" is a very broad
description in the 24/25 report. As a member I'd like to see a much more
detailed line item breakdown, such as venue rental/s, transport,
materials, payments/remuneration to directors, etc.
Around the election of board members, I see that there have been some
changes, such as board members being eligible for two consecutive
two-year terms only. The new Incorporation document,
https://drive.google.com/file/d/1y9pmIau5bcN9E17PCcfBQqgz_I3Q6vna/view,
states that the board shall consist of seven members, with three being
re-elected each year.
Will the term limits apply from the upcoming election, or will they be
retrospective? If the latter, there are three board members that have
already served four years or more, and with the size of the board
dropping last year from 11 to 6, that means at least four new board
members would need to be elected, assuming everyone eligible is standing
again.
The numbers also don't make sense, as the document states that "3
director seats will be eligible for election each year", but the term is
two years. Also, even if the numbers matched, electing 3 of 7 each time
means that at least one board member must serve more than two
consecutive terms.
Wishing everyone a good meeting, and hoping that we'll get clarity on
the above soon.
