You can force 32-bit guests to use e1000 instead under VMware Fusion,
Server, and Workstationn.

Yes, this is exactly my issue.
Figuring out how to fix this (non-working pcn driver when Xen is
booted under VMware) is not likely to be high up our list of
priorities. Even if it were, it could well be a very difficult problem
(especially without having access to the source for the pcn emulator
(which is part of VMware)).
Did you try asking VMware about it?
