http://support.microsoft.com/?id=322692 offers some good information about functional levels and things to watch for. If you have any down-level clients (non-2k or XP) then you'll want to be sure you understand the impact. SAMBA clients can be fun as well.
Since you'll also have to modify the schema, you'll want to read the readme etc to fully understand the impact. Testing is always a recommended practice.
