You have to upgrade the shema using ADPREP command.  I found an issue with Schema update if you have Exchange 2000.  Here is the KB Article

Has anyone installed a Win 2003 Server as a DC in a Win 2000 domain?

Any problems in doing so?  I want to starting moving to W2K3 as DC, but,
management is worried that something will go wrong once I promote the
W2K3 server as an additional DC.
