To the other guy all this box does is ASSP though I've got 12 instances 
running simultaneously, Another question should the ASSP services be stopped 
before the rebuild ???

As for a new box, this is a Dell and very reliable, I don't have a budget 
for a new one,  period.

And nothing on the system uses more memory that the approximately 50MB for 
each instance of ASSP

Ok, yes it can be done "offline" but it's tricky you basically have to
mount the
entire ASSP folder to another server at "c:\assp" (since you are running
windows)
and then rebuild from their. However this is only possible with Server2003.

I would almost say lose the quad-xeon and go get a 800$ Pentium D or
Athlon 64 system with 1GB memory and an SATA mirror.
For ASSP the speed is more important than the amount of processors.

Few more questions anyway.

What are your "MaxFiles" and "MaxBytes" set to?
What is your perl version?

P.S. Your server wouldn't be an Intel isp4400 would it?
