Try enabling d_scan in the debugging menu of the web interface and then run the scan whilst keeping the log window open.
I can't comment on how long a scan should take with that number of files, but my XP set up with 1gb ram (hardly anything else running on the PC) can scan 6,000 files in about 10-15 minutes (mix of MP3 [128-320], OGG and now FLAC. The only time I've ever locked up SS the way you describe was when a folder didn't exist where a networked share expected it to. It sent SS into a loop trying to look for it. If anything like that is going on, the d_scan should show this clearly. Think lots of ERROR messages. On your second point - I just run the daily installer on top of my existing set up - back up my prefs and database first, but [touch wood] they've always been preserved fine.
