I can tell you that I would not agree to such an arrangement. Of course, I
would probably not be solely manager/business either. But it seems to be
that he needs you as much as you need him. Sounds like 50/50 to me. Unless
you really wnt to go out and chase clients. Remember, you get what you pay
for.
 As an aside, you are saying patnership, but you are really a corporation,
right? You *really* don't want to go into a partnership.
