I believe if you roll over an 401K into an ROTH IRA, you will pay taxes and
penalties because an ROTH IRA is after taxes and an 401K is pre taxes.

+1 on Roth IRAs

If you're interested in Mutual Funds, go Vanguard if you can get in
(Not sure if they do individual investors, my corporate 401(k) is
managed there, they rock), or USAA if you can get in (Vet or child of
a Vet), USAA managed my wife's rollover account and performed better
than her 401(k) had.
